NOD: Grant of Restricted Stock Units

(Oslo, Norway - July 9, 2025) Nordic Semiconductor ASA has today granted402,000Restricted Stock Units ("RSUs") to employees of newly acquired Memfault Inc.aspart of retention agreements.

On May 5, 2025, The Annual General Meeting of Nordic Semiconductor ASAapprovedthe issue of Restricted Stock Units and Performance Shares of an aggregatenominal value of up to 1% of the company's outstanding share capital. Intotal,including the grant on May 13, 2025, 1,513,262 RSUs and Performance Shareshavebeen granted, equivalent to 0.78% of the company's outstanding share capital. As basis for the calculation of RSUs in today's grant, a volume weightedaverageshare price the five trading days following the closing of the acquisition ofNOK 137.38 has been used. The RSUs will vest over four years and the shares will be delivered to theemployee after the vesting date against payment of the par value of the share(subject to the employee's continued employment with the Company). The sharesmay be newly issued shares or existing treasury shares.
