Resources Developments Ltd. 
QURI (the "Company") ispleased to announce a non-brokered private placement of up to40,000,000 units (each, a "Unit") at a price of $0.05 per Unit forgross proceeds of up to $2,000,000 (the "Offering").
Each Unit will consist of one common share (a"Share") and one-half of one common share purchase warrant(each whole warrant, a "Warrant") of the Company. Each Warrantwill entitle the holder to purchase one Share (a "Warrant Share")at an exercise price of $0.10 per Warrant Share for a period oftwenty-four (24) months from the date of issuance. The Warrants willbe subject to an acceleration provision whereby if the closing priceof the Shares on the TSX Venture Exchange (the “TSXV”) equals orexceeds $0.20 for a period of 10 consecutive trading days, the Companymay, within 15 days of such occurrence, accelerate the expiry date ofthe Warrants by giving notice to the holders, in which case theWarrants will expire on the 30th day after such notice isgiven.
The Offering will be made available to subscriberspursuant to the accredited investor and friends, family and businessassociate exemptions provided under sections 2.3(1) and 2.5 ofNational Instrument 45-106 - Prospectus Exemptions.
The Company intends to use the proceeds from theOffering for the exploration and advancement of the Company’sproperty and for the working capital purposes. The Company mayreallocate the proceeds in its discretion for sound businessreasons.
Finders’ fees may be payable in connection with theOffering in accordance with the policies of the TSXV.
All securities to be issued in connection with theOffering will be subject to a statutory hold period of four months andone day from the date of issuance in accordance with applicableCanadian securities laws.
Completion of the Offering is subject to customaryclosing conditions, including the approval of the TSXV.
