Greenpanel Industries Limited has announced that its 8th Annual General Meeting (AGM) will be held on Wednesday, August 6, 2025, at 3:00 P.M. (IST) through Video Conferencing/Other Audio-Visual Means. The meeting will address the adoption of audited financial statements for the year ended March 31, 2025, confirmation of interim dividend payment, and appointment of directors and auditors.

The AGM will cover both ordinary and special business matters. Ordinary business includes the consideration and adoption of the audited financial statements for the financial year ended March 31, 2025, along with the reports of the Board of Directors and Auditors. It also involves confirming the payment of an interim dividend of ₹0.30 per share, which is 30% on 12,26,27,395 equity shares with a face value of ₹1 each. Additionally, the meeting will address the appointment of a director in place of Mr. Shiv Prakash Mittal, who is retiring by rotation and eligible for reappointment.
A key special business item is the appointment of M/s P. Sarawagi & Associates as the Secretarial Auditor of the Company for a term of five consecutive years, starting from the conclusion of this AGM until the conclusion of the AGM in 2030. The Board of Directors is authorized to determine the remuneration, terms, and conditions for their appointment, based on the recommendation of the Audit Committee.

Members can participate in the AGM through VC/OAVM mode, with the facility available to at least 1000 members on a first-come, first-served basis, excluding large shareholders, promoters, institutional investors, directors, and key managerial personnel.
In compliance with the Ministry of Corporate Affairs (MCA) and Securities and Exchange Board of India (SEBI) circulars, the AGM will be conducted through VC and/or OAVM. The registered office of the company will be deemed the place of the meeting for recording the minutes. Attendance through VC/OAVM will be counted for quorum purposes.
Members are encouraged to notify any changes to their name, postal address, email address, mobile number, PAN, nomination, and bank particulars to their depository participant(s) if shares are held electronically, or to the registrar and share transfer agent (M/s. MUFG Intime India Pvt. Ltd.) if shares are held physically. Queries regarding the accounts and operations of the company can be sent in advance to ensure answers are available during the meeting.To facilitate voting, the company has arranged for remote e-voting and e-voting during the AGM through MUFG InTime India Pvt. Ltd. The remote e-voting period begins on August 3, 2025, at 9:00 a.m. and ends on August 5, 2025, at 5:00 p.m. The cut-off date for determining members eligible to vote is July 30, 2025.
The voting results, along with the scrutinizer's report, will be placed on the company's website and forwarded to the stock exchanges.
