Shareholders Filed a Lawsuit Against Regional Health Properties for Merger Misrepresentation
Court: N.D. Georgia
Case: 1:25-cv-03880
On July 11, 2025, $RHE shareholders have filed a class action against Regional Health Properties, accusing it of promoting a conflicted merger with SunLink Health Systems and concealing superior acquisition offers.
What is this lawsuit about?
Between January and July 2025, Regional Health’s Board pursued a merger with SunLink despite receiving competing buyout proposals offering up to a 99% premium. The company allegedly failed to disclose these bids and misled shareholders through incomplete proxy materials, suppressing a chance at greater value. After the merger announcement and investor backlash, $RHE dropped over 31%.
